The process of economic transformation began in Poland in the early 1990’s and its aim was to change from centraly – regulated into market economy. Balcerowicz Plan, which initiated the transformation, introduced a completely different economic system whose goals were macroeconomic stabilization, liberalization of prices from state control, and deregulation of economic activity. The purpose of this article is to present the process of restructurisation of the biggest state- owned enterprises in the Żywiec region after the 1989. The analysis shows that the majority of state-owned companies from this region didn’t meet the requirements of market economy due to liabilities, hiperinflation, high competition, limited export to estern Europe, or lack of responsibility for strategic decisions made by management. The problems with adapting to the new situation caused many of those companies to go bankrupt or to be taken over by private owners not always interested in continuing production or maintaining the employment on the previous level.en_EN
